Terms of Use

These terms are an agreement between you and Johnston Software & Services, LLC, a limited liability company formed in Oregon. They cover the Meridian app for iPhone, iPad and Apple Watch, and the website meridiantimezone.com.

In these terms, "we", "us" and "our" mean Johnston Software & Services, LLC. "You" means you, the person using Meridian. "The app" means the Meridian application for iOS, iPadOS and watchOS, including its widgets, its Control Center control, its Apple Watch app and its complications. "The site" means meridiantimezone.com.

Please read section 12, on the accuracy of the times Meridian shows you. It is the section most likely to matter to you in practice.

1. Acceptance

By downloading, installing or using Meridian, or by using the site, you agree to these terms. If you do not agree, do not use them.

If you are using Meridian on behalf of an organisation, you confirm you have authority to accept these terms for that organisation.

You must be at least 13 years old to use Meridian. If you are under the age of majority where you live, you may use Meridian only with the involvement of a parent or guardian who agrees to these terms.

We are the sole party responsible for Meridian. Apple is not.

3. Your licence, and how these terms relate to Apple's

3.1 The licence

Meridian is licensed to you, not sold. Subject to these terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to download and use one copy of the app on Apple-branded devices that you own or control, for your own purposes, as permitted by the App Store's Usage Rules.

The licence includes use on the devices Apple's Family Sharing and volume purchasing rules allow, where those rules apply to your purchase.

We reserve every right we have not expressly granted you here.

3.2 Apple's Standard EULA

Apps distributed through the App Store are licensed under either Apple's Licensed Application End User License Agreement, known as the Standard EULA, or a custom end user licence agreement the developer supplies.

Where Apple's Standard EULA applies to your copy of Meridian, it governs the licence itself, and it can be read at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/.

These terms are intended to sit alongside it and to be consistent with it. They also cover things Apple's document does not, including your use of the site, the accuracy disclaimer in section 12, and our commitment that Meridian will never be a subscription.

If these terms and the licence terms that Apple applies to your copy of Meridian conflict on a question of the licence itself, the Apple terms govern that question, and the rest of these terms continue to apply.

Sections 2, 10, 11, 13, 14, 16, 17 and 18 of these terms exist in part to satisfy the minimum terms Apple requires of a developer's own end user licence agreement. Nothing in these terms is intended to be inconsistent with those minimum terms, and any part of these terms that would be inconsistent with them is to be read as modified to the minimum extent needed to remove the inconsistency.

3.3 Apple is not a party

This agreement is between you and us only. It is not with Apple. Apple is not responsible for Meridian or for its content.

4. Permitted use

You may use Meridian for anything lawful: personal, professional, commercial, or on behalf of your employer. There is no separate business licence and no seat count. We do not audit your use, and we could not, because we receive no information about it.

You may share screenshots of Meridian, write about it, review it, and use its name to refer to it.

5. Prohibited use

You may not:

  1. Copy, distribute, sell, rent, lease, sublicense or lend the app, except as Apple's Family Sharing and Usage Rules allow.
  2. Reverse engineer, decompile or disassemble the app, or try to derive its source code, except to the extent applicable law expressly permits that despite this restriction.
  3. Modify the app, or create derivative works from it.
  4. Remove, obscure or alter any copyright, trademark or other proprietary notice.
  5. Circumvent, disable or interfere with any security or licensing mechanism, including App Store receipt validation.
  6. Use the app to break the law, or to help anyone else break it.
  7. Attack, overload, probe or attempt to gain unauthorised access to the site or to any system used to deliver it.
  8. Scrape the site in a way that burdens it, or misrepresent yourself as us or as affiliated with us.
  9. Use our name, logo, icon or other marks in a way that suggests we endorse or sponsor you when we do not.

6. Intellectual property

We own Meridian, or hold the rights we need to license it to you. That includes its source code, its design, its icon, its artwork, its text and its arrangement. Copyright and other intellectual property laws protect it. Your licence under section 3 does not transfer any ownership to you.

"Meridian" as used for this app, together with the app icon and other distinctive marks we use, are our marks. Nothing in these terms grants you a licence to use them, other than the ordinary right to refer to the product by its name accurately and descriptively.

We claim no rights whatsoever in the content you create with Meridian. Your lanes, their names and your working hours are yours. We do not receive them, so we could not use them if we wanted to, and we make no claim to them.

Third-party components, including the public tz database from which the app's location catalogue is derived, and Apple's frameworks and SDKs, remain the property of their respective owners and are used under their own terms.

7. One-time purchase, and no subscription

Meridian is sold as a one-time purchase. You buy it once, from the App Store, and you own that licence.

Meridian will not become a subscription. We commit affirmatively that we will not convert an existing purchase into a recurring charge, and we will not put functionality you already paid for behind a recurring fee later. This is a promise about the app you bought, and it survives any future version of these terms.

If we ever release a substantially new and separate product, that is a different app, at its own price, and your Meridian licence is unaffected.

Prices are set in the App Store and may change. A price change does not affect a purchase you already made.

8. Purchases and refunds are handled by Apple

Apple is the merchant for your purchase. Apple takes the payment, handles the tax, issues the receipt and processes every refund.

We cannot issue refunds, and we are not permitted to. Refund requests are governed by Apple's own policy under the Apple Media Services Terms and Conditions. Request one through Apple, at reportaproblem.apple.com or through your Apple Account.

If you have a problem with Meridian, please still contact us at support@meridiantimezone.com. We would rather fix it than have you ask Apple for your money back. But the refund decision is Apple's alone.

Where a jurisdiction gives you a statutory right of withdrawal or a consumer guarantee, that right applies regardless of anything in this section.

9. Maintenance and support

We, and not Apple, are solely responsible for any maintenance and support for Meridian. Apple has no obligation whatsoever to provide maintenance or support services for it.

Our support channel is email: support@meridiantimezone.com. We aim to reply within a reasonable time. We do not commit to a specific response time, an uptime figure or a guaranteed fix, and Meridian is not sold with a service level agreement.

We may release updates, and we may stop releasing them. We may change or remove features. Apple controls which iOS and watchOS versions the App Store will deliver a given build to, so a future OS release may make an older version of Meridian stop working in ways we cannot prevent.

10. Warranty responsibility

We, and not Apple, are responsible for any product warranties for Meridian, whether express or implied by law, to the extent they are not effectively disclaimed under section 13.

If Meridian fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation at all with respect to Meridian. Any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are our responsibility, not Apple's.

11. Product claims and intellectual property claims

We, and not Apple, are responsible for addressing any claim by you or any third party relating to Meridian or your possession and use of it, including: product liability claims; any claim that Meridian fails to conform to a legal or regulatory requirement; and claims arising under consumer protection, privacy or similar legislation.

We, and not Apple, are solely responsible for the investigation, defence, settlement and discharge of any third-party claim that Meridian, or your possession and use of it, infringes that third party's intellectual property rights.

12. Accuracy: what Meridian is, and what it is not

Read this section carefully. It is the practical limit of what Meridian promises.

Meridian is an informational tool for everyday scheduling. It is not a certified source of time, and it must not be used where being wrong is dangerous or costly.

Specifically:

12.1 Time zone data

Time zone rules come from the public tz database, compiled into the app when it was built. Governments change time zone and daylight saving rules, sometimes at short notice and sometimes retroactively. Until you install an app or operating system update carrying the new rules, Meridian may show the old ones. Any offset, clock time or date Meridian displays may therefore be wrong.

12.2 Daylight saving predictions

Meridian looks ahead a limited window for the next daylight saving transition in each lane and describes it in one sentence. That prediction is based on the rules currently in the data on your device, and only the next transition per lane is reported. It is a heads-up, not a guarantee.

12.3 Solar calculations

Sunrise, sunset, twilight and polar day and night are computed from standard astronomical algorithms applied to a coordinate from a bundled city catalogue. They are approximations. They do not account for local terrain, elevation, obstructions, atmospheric refraction beyond a standard model, or your exact position within a city. They are drawn to give you a feel for whether someone is likely awake. They must not be used for navigation, aviation, marine operations, surveying, religious observance timing, agriculture, photography scheduling with a hard deadline, or any purpose where an error of minutes matters.

12.4 Availability and working hours

Whether a lane reads as "Working hours", "Night" or "Day off" is derived from working hours you set and from computed daylight. Meridian does not know anyone's real schedule, does not read anyone's calendar, and cannot know whether a person is actually available. It is a guess based on your own inputs.

12.5 What you must not rely on Meridian for

Do not rely on Meridian for any safety-critical, aviation, maritime, navigational, medical, emergency, financial-trading, legal, regulatory, contractual-deadline or filing-deadline purpose. For any of those, use an authoritative source appropriate to the task.

You are responsible for verifying any time that matters. If you have a flight, a court filing, a medical appointment, a market open, an exam, an interview or a meeting you cannot miss, confirm it with the airline, the court, the clinic, the exchange or the other person. Meridian computes times; it does not accept responsibility for the consequences of a time being wrong.

To the maximum extent permitted by law, we are not liable for a missed flight, a missed meeting, a missed deadline, a call placed at an unwelcome hour or any other loss arising from reliance on a time, offset, daylight saving prediction or solar figure Meridian displayed.

13. Disclaimer of warranties

To the maximum extent permitted by applicable law, Meridian and the site are provided "as is" and "as available", with all faults and without warranty of any kind.

We disclaim all warranties, express, implied and statutory, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment and non-infringement.

We do not warrant that Meridian will be uninterrupted or error-free, that defects will be corrected, that it will be compatible with any future version of iOS or watchOS, that iCloud sync will always succeed or be timely, that the times or solar figures it shows will be accurate, or that the site will always be available.

Some jurisdictions do not allow the exclusion of implied warranties or limits on statutory consumer rights. Where that is the case, the exclusions above apply only to the extent permitted, and your statutory rights are unaffected. If you are a consumer in the UK, the EU or Australia, in particular, you have rights that these terms cannot and do not take away.

14. Limitation of liability

To the maximum extent permitted by applicable law:

  1. We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost data, lost goodwill, or the cost of substitute products, arising out of or relating to Meridian, the site or these terms, however caused and on any theory of liability, even if we were advised of the possibility.
  2. Our total aggregate liability for all claims relating to Meridian, the site or these terms is limited to the greater of the amount you actually paid for Meridian, or twenty five US dollars (US$25.00).
  3. These limits apply even if a remedy fails of its essential purpose.

What these limits do not cover. Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under any non-excludable statutory consumer guarantee. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so parts of this section may not apply to you.

You acknowledge that these limits are a fundamental part of the bargain, and that the price of Meridian reflects them.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Johnston Software & Services, LLC, its members, managers and contractors from any claim, loss, liability, damage, cost or expense, including reasonable legal fees, arising out of:

  1. Your use of Meridian or the site in breach of these terms.
  2. Your violation of any law or of any third party's rights in connection with your use of Meridian.
  3. Your reliance on a time, date, offset, daylight saving prediction or solar figure shown by Meridian, contrary to section 12.

This does not apply to the extent the claim arises from our own breach of these terms, our negligence or our wilful misconduct. If you are a consumer, this section applies only to the extent consumer protection law in your jurisdiction permits.

You represent and warrant that:

  1. You are not located in a country subject to a US Government embargo, or that the US Government has designated as a "terrorist supporting" country; and
  2. You are not listed on any US Government list of prohibited or restricted parties.

You agree to comply with all applicable US and other export control and sanctions laws in your use of Meridian, and not to use it in any country or by any person those laws prohibit.

Meridian does not use or contain non-exempt encryption, and its App Store submission declares this.

17. Third-party services and terms

Meridian works with services and software we do not control:

You agree to comply with any applicable third-party terms of agreement when using Meridian. We are not responsible for third-party services, and their acts and failures are not ours.

18. Apple as a third-party beneficiary

You and we acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these terms, and that upon your acceptance of these terms, Apple will have the right, and will be deemed to have accepted the right, to enforce these terms against you as a third-party beneficiary.

19. Privacy

Our Privacy Policy explains what data Meridian and the site handle, which is very little. It is part of these terms by reference and is available at meridiantimezone.com.

In short: we run no server, we hold no account for you, and your lanes stay on your device and in your own iCloud. Please read the policy for the detail.

20. Termination

Your licence continues until terminated.

It terminates automatically if you materially breach these terms, and in particular section 5. You may end it at any time by deleting the app.

We may end it by written notice if you breach these terms and do not fix the breach within a reasonable time after we tell you about it.

On termination you must stop using Meridian and delete it from your devices. Sections 6, 10, 11, 12, 13, 14, 15, 16, 18, 21 and 22 survive termination.

Termination for breach does not entitle you to a refund. Any refund remains Apple's decision under section 8.

21. Governing law and disputes

These terms are governed by the laws of the State of Oregon, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to the paragraph below, you and we agree that the state and federal courts located in Oregon have exclusive jurisdiction over any dispute arising out of or relating to these terms or to Meridian, and you consent to their jurisdiction and venue.

If you are a consumer, nothing in this section deprives you of the protection of the mandatory law of the country where you live, or of your right to bring proceedings in the courts of that country where the law gives you that right. If you are a consumer resident in the European Union, the United Kingdom, Switzerland, Norway or Iceland, the law of your country of residence governs your consumer rights and you may bring proceedings there.

Either of us may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.

Before starting formal proceedings, please email support@meridiantimezone.com and describe the problem. Most disputes about a piece of software this small can be resolved in an email, and we would prefer to try.

22. General

Severability. If any provision of these terms is held unenforceable, that provision is to be enforced to the maximum extent permissible, or severed if it cannot be, and the rest of these terms remain in full force.

No waiver. If we do not enforce a provision, that is not a waiver of it, then or later.

Assignment. You may not assign or transfer these terms or your licence, except as Apple's Family Sharing and Usage Rules permit. We may assign these terms in connection with a merger, acquisition or sale of assets, on notice posted to the site.

Entire agreement. These terms, together with the Privacy Policy and any licence terms Apple applies to your copy of Meridian, are the entire agreement between you and us about Meridian, and replace any earlier understanding on the subject.

Headings. Headings are for convenience and do not affect interpretation.

Language. These terms are written in English. If we publish a translation and the versions conflict, the English version governs, except where applicable law says otherwise.

23. Changes to these terms

We may update these terms. When we do, we will post the new version at meridiantimezone.com and change the effective date at the top.

If a change is material, we will make that clear on the site rather than editing quietly, and we will keep the previous version available on request. We have no way to email app users, because we deliberately hold no address for them.

Continuing to use Meridian after a change takes effect means you accept the new terms. If you do not accept them, stop using Meridian and delete it.

Two things are not subject to change against you: the commitment in section 7 that your one-time purchase will not become a subscription, and the commitment in the Privacy Policy that we do not sell your personal information.
